Article 1 – Definitions

​

In these Terms & Conditions, the following definitions apply:

Entrepreneur: Nicole Schyns Studio, established in Hengelo, The Netherlands,

registered with the Dutch Chamber of Commerce under number 64441989.

​

Consumer: A natural person acting for purposes outside their trade, business, or profession.

​

Business Client: Any natural or legal person acting in the exercise of a trade, business, or profession.

​

Agreement: Any agreement between the Entrepreneur and a Consumer or Business Client regarding the sale of artworks and/or the provision of services, including commissioned works and videography services.

​

Right of Withdrawal: The Consumer’s right to cancel the agreement within 14 days, insofar as legally applicable.

Article 2 – Identity of the Entrepreneur

Article 3 – Applicability

  1. These Terms & Conditions apply to all offers, agreements, and deliveries of Nicole Schyns Studio.

  2. If any provision is found to be invalid, the remaining provisions remain in full force.

  3. Deviations from these Terms & Conditions are only valid if agreed upon in writing.

Article 4 – Offers and Conclusion of Agreement

  1. All offers are non-binding.

  2. Obvious errors or mistakes in offers are not binding on the Entrepreneur.

  3. An agreement is concluded once the order has been confirmed and payment has been received, unless otherwise agreed.

  4. The Entrepreneur reserves the right to refuse an order.

Article 5 – Prices

  1. All prices stated include VAT unless otherwise specified.

  2. Shipping costs and any additional charges are stated separately.

  3. Different pricing arrangements may apply to Business Clients by agreement.

Article 6 – Delivery

  1. Delivery takes place at the address provided by the customer.

  2. Stated delivery times are indicative and not strict deadlines.

  3. The risk of damage or loss remains with the Entrepreneur until actual delivery to the Consumer.

  4. For Business Clients, risk transfers upon delivery to the agreed delivery address, unless otherwise agreed in writing.

Article 7 – Right of Withdrawal (Consumers only)

  1. A Consumer has the right to withdraw from the purchase of a physical artwork within 14 days after receipt, without stating reasons.

  2. During this period, the Consumer must handle the artwork and packaging with care.

  3. Return shipping costs are borne by the Consumer.

  4. The Entrepreneur may withhold reimbursement until the artwork has been received or proof of return shipment has been provided.

  5. The right of withdrawal does not apply to:

    • Artworks created according to the Consumer’s specifications

    • Commissioned or personalised works

    • Services where performance has begun with the Consumer’s prior consent during the withdrawal period

Article 8 – No Right of Withdrawal for Business Clients

The right of withdrawal does not apply to Business Clients. Agreements with Business Clients are final unless otherwise agreed in writing.

Article 9 – Payment

  1. Payment is made via the payment methods offered on the website or as agreed in a quotation.

  2. For commissioned works and videography projects, a deposit may be required.

  3. In case of late payment, the Entrepreneur is entitled to charge statutory interest and reasonable collection costs, insofar as legally permitted.

Article 10 – Conformity

  1. The Entrepreneur guarantees that the delivered products conform to the agreement.

  2. Minor variations in colour, texture, or material inherent to handmade artworks do not constitute a defect.

  3. Business Clients must report visible defects within a reasonable period in writing.

Article 11 – Mentorship and Coaching Services

​

11.1 Formation of the Agreement


Mentorship services are offered following personal contact and mutual assessment of suitability. The agreement is concluded after written confirmation (for example via email) and issuance of an invoice by the Entrepreneur. Payment of the invoice constitutes acceptance of the offer.

11.2 Nature of the Service


Mentorship and coaching services constitute an obligation of effort and not an obligation of result. The Entrepreneur does not guarantee specific outcomes, results, income, or success.

​

11.3 Commencement of Services


The mentorship period commences once the Entrepreneur begins preparation, strategic planning, content development, or otherwise allocates time and availability to the Client, regardless of whether a live session has already taken place.

​

11.4 Payment and Reservation of Time


Mentorship fees are payable in advance, unless otherwise agreed in writing. Payment secures the reservation of time, intellectual preparation, and availability within the agreed mentorship period.

​

11.5 Cancellation and Rescheduling by the Client


Scheduled sessions may be rescheduled once without additional charge if cancellation occurs at least 24 hours before the scheduled start time. Cancellations made less than 24 hours prior to the scheduled session, or failure to attend a scheduled session (“no-show”), do not entitle the Client to a refund. In such cases, the session is considered delivered.

If the Client chooses to terminate the mentorship prematurely after services have commenced, no refund will be granted. The Entrepreneur is entitled to retain reasonable compensation for work performed and time reserved.

​

11.6 Suspension or Termination by the Entrepreneur


The Entrepreneur reserves the right to suspend or terminate the mentorship agreement for compelling reasons, including circumstances under which continuation of the mentorship cannot reasonably be required.

In the event of early termination by the Entrepreneur, any decision regarding partial refund of fees paid will be made in accordance with reasonableness and fairness.

Article 12 – Liability

  1. The Entrepreneur’s liability is limited to the amount of the relevant order.

  2. The Entrepreneur is not liable for indirect damage, consequential damage, or loss of profit suffered by Business Clients.

  3. Nothing in these Terms & Conditions excludes liability where such exclusion is not permitted by law.

Article 13 – Intellectual Property

  1. All copyrights and intellectual property rights relating to artworks, digital and physical designs, images and videography remain with Nicole Schyns unless otherwise agreed in writing.

  2. Works may not be reproduced, published, or commercially exploited without prior written permission.

  3. Specific licensing agreements may be made in writing for Business Clients.

Article 14 – Complaints

  1. Complaints must be submitted in writing within a reasonable time after discovery of the issue.

  2. The Entrepreneur aims to respond within 14 days of receipt.

  3. The European Commission provides an Online Dispute Resolution (ODR) platform, available at: http://ec.europa.eu/consumers/odr/

​

Article 15 – Governing Law

  1. All agreements are governed exclusively by Dutch law.

  2. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.

  3. Any disputes shall be submitted to the competent court in the Netherlands.
